Please read these terms carefully before booking or purchasing a service. By placing an order through this website, you agree to the terms applicable to your purchase.

Nothing in these Terms & Conditions excludes or limits rights that cannot lawfully be excluded under applicable law.

Hereafter referred to as “the Consultant”, “we”, “us” or “our”.

The person or organisation purchasing a service is referred to as “the Client” or “you”.

2. Scope of These Terms

These Terms & Conditions apply to:

  • Access to and use of this website

  • Enquiries and communications submitted through this website

  • Online bookings and payments for fixed-price services

  • Professional research, UX, product and service design consulting purchased through this website

The services on this website are offered exclusively to entrepreneurs, meaning businesses, organisations and self-employed professionals purchasing in connection with their business or professional activity. They are not offered to consumers.

If a sole trader concludes a contract directly related to their business but not of a professional nature for them, the statutory protections for such persons under Polish law apply, including the right of withdrawal described in Section 11.

For individually negotiated consulting engagements, a separate written agreement or statement of work may apply. Where such an agreement expressly differs from these terms, the individually agreed provisions take precedence, subject to mandatory law.

3. Services Offered

Diana Szczepanik Consulting provides independent research and consulting services focused on human behaviour, user experience, product decisions and product improvement.

Services may include:

  • UX and product experience audits

  • Expert reviews and usability evaluations

  • Product discovery and decision research

  • Behaviour and adoption research

  • Research synthesis and recommendations

  • Workshops and research consulting

Fixed-price audit services

The following audit packages are offered:

  • Focused UX audit: €690 net plus VAT. It can be booked and paid directly online via Stripe.

  • Deep UX audit: €1,500 net plus VAT. It is confirmed after a short scoping call and paid against invoice.

  • Audit + User Research: from €3,900 net plus VAT. It is quoted individually.

Each service has its own description specifying its scope, methodology, deliverables, applicable limitations and expected delivery schedule.

The exact scope of the purchased service is determined by the description available at the time of purchase, together with any additional information explicitly agreed in writing.

Unless expressly included in the purchased package, services do not include additional research sessions, participant recruitment, user testing, software development, design implementation or ongoing consulting support.

Additional services require separate agreement and may incur additional fees.

4. Website Access and Technical Requirements

This website provides information about our professional services and enables visitors to submit enquiries and purchase selected services electronically.

Access to the website is generally free of charge, excluding the costs of internet connectivity charged by your provider.

To use the website and online booking functionality, you need:

  • A device with an internet connection

  • A current web browser supporting standard web technologies

  • An active email address

  • A supported payment method for purchases

No customer account is required unless explicitly indicated.

You must not submit unlawful content, interfere with website security, attempt unauthorised access or use the website in a way that infringes the rights of others.

You may stop using the website at any time. Ending your use of the website does not automatically terminate a separately concluded service contract.

We may take proportionate steps to prevent misuse or protect the security of the website.

Risks of using electronic services

Using the internet involves general risks, such as malware, phishing or unauthorised access to data. Please use up-to-date software and only enter payment details on the secure Stripe Checkout page.

5. Booking and Contract Formation

Services may be purchased directly through our website using Stripe Checkout.

The booking process generally consists of the following steps:

  1. Select the desired service.

  2. Review the service description, scope, price and applicable conditions.

  3. Enter the requested contact and billing information.

  4. Review and accept the Terms & Conditions.

  5. Complete the payment through Stripe.

  6. Receive confirmation of the successful purchase.

You can review and correct your information before completing payment.

A binding service contract is concluded when the payment is successfully completed and the order is confirmed.

A successful booking will be confirmed electronically. The Client will receive or be provided with the relevant order details and contractual information in a form that can be stored for future reference.

The contract is concluded in English. These Terms & Conditions can be saved or printed at any time and are also sent as a PDF with the booking confirmation.

If a technical error, duplicate transaction or genuine service unavailability prevents fulfilment, we will contact the Client promptly and offer an appropriate solution, including a full refund where the service cannot be provided.

Submitting an enquiry or requesting a quotation does not itself create an obligation to purchase.

6. Prices, Taxes and Payments

All prices are net prices in euros (EUR) plus VAT where applicable.

The applicable price, tax treatment and final amount payable are displayed before the purchase is completed.

Prices may be subject to value-added tax (VAT) according to applicable Polish and EU tax rules and the Client’s tax status.

For eligible cross-border business transactions within the European Union, the reverse-charge mechanism may apply.

Business clients are responsible for providing accurate company, billing and VAT identification details where relevant.

Payments are processed securely through Stripe. Available payment methods are displayed during checkout.

We do not directly store complete payment card details.

All purchases are one-time payments unless a recurring payment arrangement is expressly identified and agreed before purchase.

We reserve the right to change published prices for future purchases. Price changes do not affect contracts already concluded.

Any additional costs must be disclosed and expressly agreed before they are charged.

Invoices are issued in accordance with applicable Polish tax and invoicing requirements.

7. Service Delivery and Client Responsibilities

Following a successful booking, the Client will receive information about the next steps.

Depending on the purchased service, this may involve providing access to a product, website, prototype, relevant documentation or other materials required to conduct the work.

The Client agrees to:

  • Provide accurate and relevant information

  • Supply the materials and access reasonably necessary for the agreed services

  • Ensure that any materials shared may lawfully be provided and used for the agreed purpose

  • Communicate relevant restrictions and project requirements in advance

  • Respond to reasonable requests for clarification where necessary

The delivery period is the period stated in the purchased service description or otherwise agreed in writing.

Where no specific start date has been agreed, work will be scheduled after payment and receipt of the necessary information, subject to applicable withdrawal rights.

Delivery schedules may require adjustment if essential materials are missing, agreed dependencies change or circumstances outside our reasonable control arise.

We will communicate material delays and agree on reasonable next steps.

If the Client does not provide essential information despite a reasonable written reminder, we may suspend the affected work. Where the service cannot reasonably continue, either party may terminate the engagement, subject to the cancellation, payment and refund provisions in these terms and applicable law.

Services and deliverables are normally provided remotely and electronically unless otherwise agreed.

8. Nature of Research and Consulting Services

Our services are professional evaluations, research activities and advisory engagements based on the information available, the agreed scope and the methods used.

Findings and recommendations represent a professional assessment at the time of delivery.

Research and consulting can reduce uncertainty and support informed decisions, but outcomes depend on factors beyond the Consultant’s control.

We do not guarantee specific business results, conversion rates, revenue increases, product adoption rates or other commercial outcomes unless expressly agreed in writing.

The Client remains responsible for business decisions, implementation and the subsequent use of recommendations.

We undertake to provide the agreed services with reasonable professional care and diligence.

9. Changes to Scope and Additional Work

The purchased package covers only the services and deliverables expressly included in its description.

Requests for substantial additional analysis, further research, new deliverables or work outside the agreed scope may require a separate quotation.

Additional work will not begin or be charged without the Client’s agreement.

Minor clarifications relating to a delivered audit may be requested by email.

Requests for additional analysis or material revisions beyond the purchased scope are treated as new work, unless necessary to remedy a failure to deliver the agreed service.

Nothing in this section limits statutory remedies for services that do not conform to the contract.

10. Cancellation and Refunds

10.1 Business clients

Business clients who do not benefit from statutory consumer withdrawal rights may request cancellation by contacting us by email.

Our standard cancellation policy for fixed-price services is as follows:

Before work begins

If the Client cancels before any substantive project work has started, the service fee will be refunded in full.

After work has begun

If the Client cancels after work has started, we may retain a reasonable portion of the agreed fee corresponding to the work already performed, together with any non-cancellable third-party expenses that were expressly approved by the Client in advance.

Any remaining balance will be refunded.

After completion

Once the agreed service has been fully delivered, a cancellation request does not create an automatic entitlement to a refund.

However, the Client may still raise a complaint regarding any failure to provide the service in accordance with the contract.

Refunds under this voluntary business cancellation policy will normally be processed within 14 calendar days after the refundable amount has been determined.

10.2 Sole traders with statutory protection

Where the Client has a statutory right of withdrawal, the provisions in Section 11 apply and take precedence over any conflicting cancellation conditions.

Nothing in this cancellation policy restricts statutory rights or remedies.

10.3 Cancellation by the Consultant

If we are unable to provide the purchased service for reasons attributable to us, the Client will be offered an appropriate alternative, a new agreed delivery schedule or a refund.

Where the service cannot be provided and the Client does not accept an alternative, any payment for the undelivered service will be refunded, without prejudice to additional rights under applicable law.

11. Statutory Right of Withdrawal

This section applies only to sole traders who are entitled to the statutory protections described in Section 2. It does not apply to other business clients.

11.1 Withdrawal period

If you are entitled to these protections, you have the right to withdraw from the contract within 14 calendar days without giving any reason.

The withdrawal period begins on the date the service contract is concluded.

11.2 How to exercise your right of withdrawal

To exercise your right of withdrawal, you must inform us of your decision by an unequivocal statement before the withdrawal period expires.

You can contact us at:

Diana Szczepanik (Diana Szczepanik Consulting)
Email: contact@dianaszczepanik.com
Address: ul. Angorska 21/15, 03-913 Warszawa, Poland

You may use the model withdrawal form provided at the end of these Terms & Conditions, but its use is not mandatory.

It is sufficient to send your withdrawal statement before the 14-day period expires.

Where an additional online withdrawal function is provided or required by applicable law, you may also use that function.

11.3 Services beginning during the withdrawal period

You may expressly request that we begin providing the purchased service before the 14-day withdrawal period has expired.

Where required by law, we will obtain your separate express request before starting the service and inform you about its consequences.

If you withdraw after expressly requesting early commencement, but before the service has been fully performed, you may be required to pay a proportionate amount for the services already provided, in accordance with applicable law.

11.4 Loss of withdrawal rights after full performance

Where the Consultant has fully performed the purchased service, the statutory right of withdrawal may expire if, before performance began, you expressly agreed to its early commencement and acknowledged that you would lose the right of withdrawal once the service had been fully performed.

This exception applies only where all applicable legal conditions have been satisfied.

Merely purchasing a service or accepting these Terms & Conditions does not automatically constitute the separate express consent required for this purpose.

11.5 Refunds following statutory withdrawal

Where a valid statutory withdrawal occurs, we will refund the payments due under applicable law without undue delay and no later than 14 calendar days after receiving your withdrawal statement.

If you validly requested early commencement and a proportionate payment for services already provided is legally due, that amount may be deducted from the refund.

Refunds will normally be made using the original payment method, unless you expressly agree otherwise and incur no fees as a result.

12. Complaints and Service Quality

We aim to provide services in accordance with the agreed scope and professional standards.

If you believe that a service has not been delivered as agreed, please contact us at:

contact@dianaszczepanik.com

Complaints about the functioning of this website can also be sent to contact@dianaszczepanik.com. We respond within 14 days.

Where possible, include your name, order reference, a description of the issue and the resolution you are requesting.

These details help us investigate the matter but do not limit your statutory rights.

We will review complaints fairly and respond as promptly as reasonably possible.

Complaints will be answered within 14 calendar days of receipt.

Where legally required, failure to respond within the statutory period may have the consequences provided by applicable law.

Where a service does not conform to the contract, the Client retains all remedies available under mandatory law.

Business clients may also request that an identified and substantiated failure within the agreed scope be remedied within a reasonable period.

If a matter cannot be resolved directly, any applicable statutory or alternative dispute resolution procedures remain available.

13. Intellectual Property and Use of Deliverables

All original materials, methodologies, templates, frameworks and professional tools used or developed independently by the Consultant remain the intellectual property of their respective owners.

Upon full payment, the Client receives a non-exclusive licence to use the deliverables created for the engagement for its own business purposes, unlimited in time and territory, in the following fields of exploitation:

  • Recording and reproducing them by any technique, including printing and digital copies

  • Storing them on computers, servers and in cloud services

  • Sharing them internally and with affiliated companies, advisers and contractors bound by confidentiality

  • Using the findings to design, change and improve the Client’s products and services

The Consultant waives the right to terminate this licence, except in the case of non-payment.

The Client may share deliverables with employees, affiliated teams and professional advisers or contractors who reasonably require access for those purposes, provided appropriate confidentiality protections apply.

The licence does not permit commercial resale or publication of the deliverables as a standalone research product without prior written permission.

Ownership of pre-existing intellectual property, research methods, templates and reusable frameworks is not transferred.

Materials supplied by the Client remain the property of the Client or their respective owners.

Any transfer of exclusive rights or other specially negotiated intellectual property arrangements must be agreed separately in a legally valid form.

14. Confidentiality and Research Data

Both parties agree to treat confidential business and project-related information received during the engagement with appropriate care.

Confidential information will not be disclosed to third parties except where necessary for the performance of the agreed services, permitted by the disclosing party or required by law.

These obligations do not apply to information that is publicly available without breach of confidentiality, independently developed without use of confidential information or lawfully received from another source without a confidentiality obligation.

We will not publish the Client’s identity, confidential project materials or identifiable research findings as a case study without prior permission.

Where an engagement involves personal data from research participants or the Client’s users, the parties will determine their respective responsibilities under the GDPR.

Where required, a separate data processing agreement and additional project-specific privacy information will be established before the relevant personal data is processed.

15. Data Protection and Payment Security

Personal data collected through this website, enquiries, bookings and transactions is handled in accordance with our Privacy Policy and applicable data protection law.

Payments are handled through Stripe, which applies its own payment security and data processing arrangements.

Please consult our Privacy Policy for more information about the processing of personal data, recipients, international transfers and your rights.

Read the full Privacy Policy.

16. Liability

The Consultant is responsible for providing the agreed services with reasonable professional care and diligence.

To the extent permitted by applicable law, our liability towards business clients who do not benefit from statutory consumer protection is limited to direct and reasonably foreseeable losses resulting from a breach of the relevant service contract.

For such business clients, our aggregate contractual liability in connection with a particular service is limited to the amount paid for that service, to the extent such a limitation is legally permissible.

We are not responsible for commercial results that depend on independent implementation decisions or external business circumstances.

Nothing in these Terms & Conditions excludes or limits liability for intentional misconduct or any liability that cannot lawfully be excluded or limited.

Nothing in this section limits the mandatory legal rights of consumers or other legally protected purchasers.

17. Circumstances Beyond Our Control

Neither party will be responsible for delays caused by extraordinary circumstances outside its reasonable control, to the extent permitted by applicable law.

Examples may include major service disruptions, natural disasters or other events that make contractual performance temporarily impossible.

The affected party will notify the other party as soon as reasonably practicable and take reasonable steps to minimise disruption.

Where performance cannot reasonably continue, the parties will discuss an appropriate adjustment or termination, including any refunds or other remedies required by law.

18. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Poland.

For business-to-business contracts, disputes that cannot be resolved amicably will be submitted to the competent courts having jurisdiction over the Consultant’s registered business location in Poland, to the extent permitted by law.

Where the Client is a consumer, this choice of law does not deprive the Client of mandatory protections afforded by the law of their country of habitual residence where those protections apply.

Mandatory consumer jurisdiction rules also remain unaffected.

We encourage Clients to contact us directly before initiating formal proceedings so that we can attempt to resolve concerns efficiently.

Consumers may seek assistance from appropriate consumer protection authorities or alternative dispute resolution bodies where available.

19. Changes to These Terms

We may update these Terms & Conditions to reflect changes to our services, business operations or applicable legal requirements.

The current version will be published on this website together with its revision date.

Changes will not retroactively alter the terms of a previously concluded service contract without the parties’ valid agreement, except where mandatory law requires otherwise.

If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.
